Terms of Use of Trademark(s) by Merchant(s)

You acknowledge that the trademarks made available herein (“Acceptance Mark(s)”) are owned by Alipay Connect Pte. Ltd. or its affiliates (“Alipay”), or the relevant Payment System Operators and/or Payment Method Providers (collectively, “Licensor(s)”), and only Acquiring Partner(s) and Merchant(s) duly authorised to use Alipay Merchant Services may be licenced to use the Acceptance Mark(s).

Before you open the Link and use the [Please provide the name of the document/information] as well as the Acceptance Mark Generator of Alipay, you confirm acceptance of the following:

1. When you open the Link shared with you and access the pages where the Link refers to, you are granted a limited, revocable, non-exclusive, non-transferrable, non-sublicensable and royalty-free sublicence to use the Acceptance Mark(s) subject to the terms herein.
2. The Link will remain valid for [14] days only for your access and is traceable to you as a Merchant. You agree not to share the Link with any other entities.
3. Through the Link, you will be able to access the [Please provide the name of the document/information] and a tool called “Acceptance Mark Generator” which enables you to download one or more of the Acceptance Mark(s) for displaying at your physical stores and/or online stores to indicate the acceptance of the relevant payment method(s) through Alipay Merchant Services.
4. You agree to use the Acceptance Mark(s) only for the purposes of using or promoting Alipay Merchant Services.
5. You agree to display the Acceptance Mark(s) in accordance with the Alipay+ Brand Guidelines, and agree not to delete or make any alterations to any elements, parts or aspects of the Acceptance Mark(s), unless with prior consent by the owner(s) of the relevant Acceptance Mark(s).
6. Upon notification by the Licensor(s) (including Alipay) and/or the Acquiring Partner who shared the Link with you to alter any of the Acceptance Mark(s) or cease using the same, you agree to immediately replace the relevant Acceptance Mark(s) that is in use by you with other trademark(s) provided (and the use of which will continue to be subject to all the applicable terms and conditions), and/or cease using, remove and/or procure the cessation of using or the removal of the relevant Acceptance Mark(s) in full compliance with the relevant Licensor(s)’ instructions.
7. If your use of the Acceptance Mark(s) is found to be in breach of these terms, you agree to timely rectify the breach (whether being notified by your Acquiring Partner/the relevant Licensor(s) or not), failing which the Licensor(s) (including Alipay) and/or your Acquiring Partner may take actions against you.
8. You agree to record full details of your use of the Acceptance Mark(s) (including when, where and how the Acceptance Marks were used) and disclose such details to your Acquiring Partner, the Licensors and/or Alipay at any time upon request.
9. You acknowledge that you have no right, title or interest in or to the Acceptance Mark(s), save and except for the limited sublicence to use the Acceptance Mark(s) granted to you; and any and all goodwill arising from your use of the Acceptance Mark(s) shall inure solely to the benefit of the Licensor(s).
10. You agree not to use or apply to register any trademark, trade name, domain name or any other forms of intellectual property rights which are identical or confusingly similar to or comprise of the Acceptance Mark(s) (in whole or in part) in respect of any goods or services.
11. You agree not to do or permit to be done any act which may affect the title, rights, interests and/or goodwill of the owner(s) of the Acceptance Mark(s) and the validity of the Acceptance Mark(s).
